Terms and Conditions for Small Business Consulting Services

1. Introduction

1.1. These terms and conditions govern the provision of consulting services by Press Enterprise to clients.

2. Services

2.1. The Consultant agrees to provide consulting services as detailed in the engagement letter or proposal (“Services”).

2.2. The scope, deliverables, and timeline of the Services will be outlined in the engagement letter.

3. Fees and Payment

3.1. Fees for the Services will be specified in the engagement letter.
3.2. Payment terms are paid with fixed payments as soon as possible when service is done.

4. Client Responsibilities

4.1. The Client agrees to provide all necessary information and resources to the Consultant in a timely manner.

4.2. The Client will designate a primary contact person to liaise with the Consultant.

5. Confidentiality

5.1. Both parties agree to keep all confidential information received from the other party confidential.

5.2. Confidential information will not be disclosed to any third party without the prior written consent of the disclosing party.

6. Intellectual Property

6.1. All intellectual property developed during the provision of the Services will remain the property of the Consultant.

6.2. The Client will be granted a non-exclusive, non-transferable license to use the deliverables for internal business purposes only.

7. Term and Termination

7.1. The agreement will commence on the date specified in the engagement letter and will continue until the completion of the Services or until terminated by either party.

7.2. Either party may terminate the agreement with 30 days written notice.

7.3. In the event of termination, the Client will pay the Consultant for all Services performed up to the termination date.

8. Limitation of Liability

8.1. The Consultant’s liability for any claim arising out of this agreement will be limited to the amount of fees paid by the Client.

8.2. The Consultant will not be liable for any indirect, incidental, or consequential damages.


11. Amendments

11.1. Any amendments to these terms and conditions must be in writing and signed by both parties.

12. Entire Agreement

12.1. These terms and conditions, together with the engagement letter, constitute the entire agreement between the parties and supersede all prior agreements and understandings.

13. Severability

13.1. If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14. Notices

14.1. Any notices required or permitted to be given under this agreement must be in writing and delivered to the respective addresses of the parties as set out in the engagement letter.

15. Force Majeure

15.1. Neither party will be liable for any delay or failure to perform its obligations under this agreement due to circumstances beyond its reasonable control.

Acceptance of Terms and Conditions

By engaging the services of Press Enterprise, the Client agrees to be bound by these terms and conditions.
